Concentration Thresholds for Horizontal Mergers

Volker Nocke et al.

Summary: This study finds both theoretical and empirical basis for focusing solely on the change in concentration, and ignoring its level, in screening mergers for whether their unilateral price effects will harm consumers. The current threshold levels are likely too lax, unless there are significant efficiency gains or factors like entry and product repositioning to constrain market power postmerger.

Judicial Response to the 2010 Horizontal Merger Guidelines

Carl Shapiro et al.

Summary: Our study shows that the 2010 Horizontal Merger Guidelines have had a significant impact on cases involving unilateral effects, with courts more receptive to the government's arguments about potential price increases due to loss of competition and more willingly defining markets around targeted customers. However, we did not find any effect on cases of the higher concentration thresholds found in the 2010 Guidelines.

Ten Years of the 2010 HMG: A Perspective from the Department of Justice

Craig T. Peters et al.

Summary: Ten years after its release, the 2010 Horizontal Merger Guidelines continue to accurately reflect current legal and economic principles of antitrust, with a reliance on market shares and concentration to determine potential harm to competition. Market definition remains crucial in merger analysis, combining quantitative rigor with qualitative evidence, while courts increasingly accept standard economic tools for evaluating the potential impact of horizontal mergers.
