Capital budgeting and managerial empire building

Katrin Weiskirchner-Merten

Summary: This study examines how a company's headquarters make capital budgeting decisions and compensate managers based on their reports of decision-relevant private information. The findings show that managerial empire-building benefits can affect companies' optimal capital budgeting decisions, and the headquarters counteract the manager's desire for overinvestment through investment distortions.

How cross-cultural experience shapes emerging-market multinationals' domestic performance after a cross-border acquisition

Guus Hendriks et al.

Summary: Although the aim of cross-border acquisitions by emerging-market multinational companies is to improve domestic operating performance, the conditions under which such acquisitions are most effective have not been fully explored. This study draws on global strategy research to propose that the effectiveness of these acquisitions depends on the cross-cultural experience of the companies, as they apply different forms of resource recombination based on this experience. The study also finds a U-shaped relationship between cross-cultural experience and domestic productivity growth from these acquisitions, with the relationship being stronger for more integrated acquisitions or larger targets, but weaker for acquirers from countries with larger institutional voids.

OWNERSHIP STRUCTURE, ACQUISITIONS AND EXECUTIVE COMPENSATION: EVIDENCE FROM PUBLICLY LISTED CHINESE COMPANIES

Lili Kang et al.

Summary: This paper examines the relationship between acquisitions and executive compensation using panel data from China's publicly listed companies (PLCs). The findings suggest that acquisitions lead to a significant increase in executive compensation, with a stronger effect observed in state-owned PLCs compared to private-owned PLCs. The study also reveals that state ownership and shareholding concentration contribute to higher executive compensation, indicating the presence of a principal-principal problem. Additionally, the analysis shows that the compensation-increasing effect of acquisitions is more pronounced for top executive managers than top board directors.

Cultural heterogeneity, acquisition experience and the performance of Chinese cross-border acquisitions

Lili Kang et al.

Summary: This study examines the impact of cultural heterogeneity and cross-border acquisition experience on the post-acquisition performance of Chinese publicly listed companies (PLCs) using data from 2010 to 2015. The results show that cultural heterogeneity has a negative effect on post-acquisition performance, while acquisition experience has a positive effect. The dynamic marginal effects of these factors on performance are contingent on the scale of acquisition.

Cross-border acquisitions and the performance of Chinese publicly listed companies

Xue Li et al.

Summary: Based on resource dependence theory, agency theory, and institutional theory, this study develops an integrated framework to explain the motivations, moderators, and performance of Chinese cross-border acquisitions. Using a unique dataset covering the period from 2003 to 2016, the study examines the influence of market-seeking, resource-seeking, and managerial self-interest motivations on the performance of China's manufacturing sector publicly listed companies (PLCs). The findings support market-seeking motivation for cross-border acquisitions, weakly support resource-seeking motivation, and reveal the presence of an underlying agency problem and the significance of managerial self-interest motivations.

How Does Cultural Distance Matter in Long-term Value Creation of Cross-border Acquisitions?

Wenjun Tu et al.

Summary: The study shows that cultural distance has a negative impact on long-term value creation for Chinese acquirers, especially in service or strategic emerging industries. However, this negative effect can be mitigated by prior international acquisition experience in culturally similar countries or top managers' overseas education experience.

Summary: The study shows that both cultural similarity and dissimilarity impact target performance improvement, indicating that acquiring targets from a rice culture area can lead to better performance for companies from a wheat culture region. Additionally, the experience of acquirers with rice targets is less beneficial compared to their experience with wheat targets.

Summary: This article discusses identification, estimation, and inference procedures for treatment effect parameters using the Difference-in-Differences (DiD) method, which is applicable to multiple time periods, variation in treatment timing, and when the parallel trends assumption holds potentially only after conditioning on observed covariates. Heng An et al.

Summary: Corporate innovation is positively related to board diversity, especially for firms with more complex operations, experienced boards, and stronger external governance.
