Killer Acquisitions

Summary: This research suggests that incumbent companies may acquire innovative targets in order to stop innovation projects and prevent future competition, known as "killer acquisitions." A model is developed to illustrate this phenomenon, and data from the pharmaceutical industry shows that acquired drug projects are less likely to be developed if they overlap with the acquirer's existing product portfolio, particularly in cases of strong market power. Conservative estimates indicate that 5.3%-7.4% of acquisitions in the sample are killer acquisitions, often just below antitrust scrutiny thresholds.
